These Terms of Service ("Terms") govern your access to and use of Cosigner, an AI-powered co-signer service for Gnosis Safe multisig wallets (the "Service"), operated by Cosigner ("we," "our," or "us").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Service. By using the Service, you represent and warrant that you meet these requirements.

Service Description

Cosigner is an AI-powered co-signer service that analyzes and conditionally approves transactions on your Gnosis Safe multisig wallet based on predefined rules and risk parameters. The Service aims to enhance security while improving transaction efficiency.

Risk Acknowledgment and Limitations

By using the Service, you acknowledge and accept the following:

• No Absolute Security: While our Service employs AI and security measures to analyze transactions, we cannot guarantee absolute security. Our Service is intended to provide an additional layer of security, not replace human judgment or other security measures.
• Transaction Responsibility: You retain ultimate responsibility for all transactions approved through your wallet. The Service does not relieve you of your duty to exercise care and judgment in managing your digital assets.
• Technical Limitations: The Service may not detect all fraudulent or malicious transactions. Attackers may develop methods to circumvent our security measures.
• Blockchain Risks: Our Service operates on blockchain networks that we do not control. You acknowledge the inherent risks associated with blockchain technology, including potential forks, delays, or network congestion.

User Obligations

In using our Service, you agree to:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSIGNER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

WITHOUT LIMITING THE FOREGOING, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICE DURING THE PERIOD OF 12 MONTHS PRIOR TO ANY CAUSE OF ACTION ARISING.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT (1) THE SERVICE WILL MEET YOUR REQUIREMENTS, (2) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

Indemnification

You agree to defend, indemnify, and hold harmless Cosigner and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
